Terms of service

These terms are an agreement between you and DemarcLabs (“DemarcLabs”, “we”, “us”) covering your use of the DemarcLabs web application at app.demarclabs.com (the “Service”). By creating a workspace, joining one, or signing in, you agree to them on behalf of yourself and the company you represent.

1. What the Service is

The Service is a shared workspace where companies and their telecom advisors keep track of services, locations, quotes, projects, bills and renewals. It records information you and your advisor enter. It does not pay bills, place orders with carriers on its own, or replace the contracts you hold with your providers.

2. Accounts and teams

• You must give accurate information and keep your sign-in email secure. Anyone who signs in with your email acts as you.
• A workspace belongs to the company that created it. Its admins decide who is on the team, and can remove anyone at any time.
• An advisor firm can see and work in a client workspace only while that client has it as their advisor. The client can change or remove its advisor.
• DemarcLabs staff may view a workspace in read-only mode to provide support and fix problems. Every such visit is recorded and shown on the workspace’s History page.

3. Your data

• You own the information you put into the Service. We claim no rights to it beyond what is needed to run the Service for you.
• Advisor firms own the client information they enter, including commission and deal notes, which are never shown to the client or to other firms.
• We will not use information about an advisor’s clients to market to those clients, or to compete with that advisor, and we will not sell your data to anyone.
• You can export your data or ask us to delete your workspace at any time by emailing hello@demarclabs.com. Deletion is permanent after 30 days.

4. Advisory services

When DemarcLabs acts as your advisor, our team helps you request quotes, compare options and manage projects. We may be paid by providers when you choose a service through us; we will tell you when that is the case. The decision to buy, change or cancel any service is always yours, and is made with the provider directly.

5. Fees

• Prices are shown on the Billing page before you subscribe. Paid plans are billed monthly or yearly through Stripe and renew until cancelled.
• You can cancel any time; the plan stays active until the end of the period you paid for. We do not give refunds for partial periods.
• We may change prices with at least 30 days’ notice by email.

6. Acceptable use

Do not use the Service to break the law, to store data you have no right to, to probe or disrupt it, or to access a workspace you were not invited to. We may suspend an account that does.

7. Reminders and alerts

The Service sends renewal flags and other alerts based on the dates and terms you entered. They are a convenience, not a guarantee. Check your contracts; you remain responsible for meeting their notice deadlines.

8. Document reading

When you upload a bill, quote or contract and ask the Service to read it, it proposes values from that document and shows you where each one came from. Proposed values are suggestions until a person on your team confirms them. You are responsible for checking them, and the original proposal is kept next to whatever you confirm. Do not upload documents you have no right to share.

9. Availability and warranty

We work to keep the Service available and your data safe, but it is provided “as is”. We make no warranty that it will be uninterrupted or error-free. To the extent the law allows, our total liability for any claim relating to the Service is limited to the fees you paid us in the twelve months before the claim, and we are not liable for indirect or consequential losses.

10. Changes and ending the agreement

We may update these terms; we will email account admins about material changes at least 14 days before they take effect. You may stop using the Service at any time. We may end your access if you breach these terms, after giving you a chance to fix the problem where that is reasonable.

11. Governing law

These terms are governed by the laws of the United States and of the state where DemarcLabs is organized.
